These Terms of Service (“Terms”) govern your access to and use of https://elogik.ai (the “Site”) and the consultancy services provided under the trade name elogik solutions by Eco-Logik Ventures Inc. (“Eco-Logik”, “we”, “us”, “our”).
By accessing the Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site or engage us.

2. Website use
You may use the Site to learn about our services, read our writing, and contact us. You agree not to attempt unauthorized access, interfere with the Site’s operation, distribute malware or spam, scrape content in violation of law or these Terms, or misrepresent your identity.
3. Consultancy services
Our consultancy engagements are governed by a written Statement of Work (“SOW”) signed by both parties. In the event of conflict between these Terms and an executed SOW, the SOW controls.
4. Payment
Fees, invoicing, currency, and payment terms are stated in the SOW. Default terms: invoices payable within 15 days of issue, late payment accrues interest at 1.5% per month or the maximum permitted by law (whichever is lower), taxes added where applicable (HST 13% in Ontario).
5. Intellectual property
All content on the Site is owned by Eco-Logik Ventures Inc. or licensed to us. Ownership of deliverables produced during an engagement is governed by the SOW. Default: client owns the deliverables, Eco-Logik retains rights to background intellectual property and reusable methods.
6. Confidentiality
We treat client and prospect information as confidential and share only with authorized parties as described in our Privacy Policy or as required by law.
7. Warranties and disclaimers
The Site is provided “as is.” To the maximum extent permitted by law, we disclaim all warranties, express or implied. Warranties in respect of specific engagements are governed by the SOW.
8. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising from your use of the Site is limited to CAD 100. Liability from an engagement is limited to fees paid in the 12 months preceding the claim, or as stated in the SOW.
9. Governing law and dispute resolution
These Terms are governed by the laws of the Province of Ontario, Canada and applicable federal laws of Canada. Disputes are resolved first through good-faith negotiation, then mediation in Toronto, then the courts of Ontario.
